Bottom line: in the vast majority of circumstances, the principal value of incorporating in Delaware is to the incorporation service, in that they collect fees from the transaction.
The real Bottom line: When someone incorporates in Delaware for a reasonable fee it cuts out attorneys who charge exorbitant fees for doing essentially the same service, hence why attorneys don't like Delaware corporations.
